CASTLE ROCK MICROWAVE'S TERMS & CONDITIONS

 

WORKSITE CONDITIONS, ACCESS, AND TIMING:

Unless otherwise detailed in the Scope of Work/Proposal , Castle Rock Microwave (CRM) assumes the project work location will not have any unusual working conditions, access, or other variables that will result in work delays, needs for special vehicles, permits, permission, unplanned engineering analysis, or any other conditions requiring extra time, tools, vehicles, costs or capabilities atypical of normal circumstances (“Out of Scope Circumstances”).

CRM assumes that there will be continuous uninterrupted access to each site during normal business hours.

In the event Out of Scope Circumstances, interrupted access to each site, or work outside of normal business hours occur, there may be an additional cost to Customer which will documented through a written Change Order prior to commencement of work.
 

ACCEPTANCE & PAYMENT:

Should Customer desire to inspect work as part of acceptance prior to CRM invoicing and Customer payment, Customer will notify CRM upon issuance of a Purchase Order of such plans. CRM will make all reasonable accommodations to make the project worksite available for the Customer to inspect work in a manner that will not delay completion of work and issuance of closeout documentation and final Invoice. Should Customer’s requirement for work inspections, generation and closeout of inspections reports, punch lists, or other additional closeout requirements not be included in the initial project Scope of Work/Proposal prior to issuance of a Purchase Order, CRM may request a change order to compensate CRM for unplanned invoicing and payment delays accordingly.

Due to rapidly changing shipping costs, actual freight and delivery costs will be calculated at time of shipment and added on all applicable invoices.

Customer agrees that all Federal, State, and Municipal taxes of any nature and kind that may be imposed on CRM with respect to the materials described shall be added to the amounts otherwise due under the Proposal. Customer agrees to be responsible for paying any such taxes incurred by or imposed on CRM and agrees to indemnify and hold harmless CRM from CRM’s costs, expenses and attorney’s fees incurred in any tax proceeding relating thereto.

WARRANTY & SUPPORT:

All CRM furnished equipment includes the manufacturer’s standard warranty (which can range from 1 to 5 years) unless an upgraded warranty or Service Level Agreement (SLA) is purchased. All warranty start dates begin on the shipment date (from manufacturer or distributor). Manufacturer warranties only cover parts, not labor.

Additional or upgraded warranties or Service Level Agreements (SLA) are available for purchase through CRM.

CRM warrants our labor for a period of 12 months from installation.

CONFIDENTIALITY

The terms, prices, and scope of work contained in the Proposal and any attachments are CRM Confidential and shall be treated as such by Customer. Such Confidential information shall not be disclosed to anyone outside of the Customer and shall only be shared with Customer’s staff or agents on a need-to-know basis.

EXPIRATION

The terms, prices, and scope of work contained in the Proposal expire 30 days from the date of the Proposal unless otherwise noted on the Proposal. If Proposal is not accepted by way of signature by Customer or issuance of a Purchase Order (“Acceptance”) prior to expiration, the terms, pricing, and scope of work contained are no longer valid. In addition, if more than a 30 day delay from the date of Acceptance and start of work occurs, the terms, pricing, and scope of work may no longer be valid and a revised Proposal may be required.

CONFLICTS OR INCONSISTENCIES

In the event that CRM and Customer have any governing Master Services Agreements or other Contracts (“Governing Contract”), any conflicts or inconsistencies between the Scope of Work or Governing Contract and these Terms and Conditions shall be resolved by reference to the documents in the following order of priority:

  1. Governing Contract

  2. Scope of Work/Proposal

  3. Terms and Conditions

ACCEPTANCE

Acceptance and agreement to these Terms and Conditions by Customer is given either by signature and return of the Proposal, or by issuance of a Purchase Order referencing the Proposal.
